Enea. Ewa Michalska-Olek on the supervisory board of Enea, Łukasz Ciołko dismissed – Borys Budka, the minister of state assets made the decision

Ewa Michalska-Olek will replace Łukasz Ciołka on the supervisory board of Enea. The decision on this matter was made by the Minister of State Assets, Borys Budka. An extraordinary general meeting of Enea’s shareholders is scheduled for Tuesday.

First, Enea’s management board informed that the company had received a statement from the Minister of State Assets on Monday Borys Budka, of the same day, on the exercise by the head of MAP of the right to dismiss a member of the supervisory board of Enea SA pursuant to § 24 section 1 of the company’s statute. As we read in the statute, the State Treasury has the right to appoint and dismiss one member of the supervisory board by way of a written declaration submitted to the company’s management board.

“According to the received statement, the Minister of State Assets, using the above-mentioned powers, on January 29, 2024, dismissed Mr. Łukasz Ciołko from the Supervisory Board of the Company,” the stock exchange report said.

The next report stated that “in accordance with the received statement, the Minister of State Assets, using the above-mentioned powers, as of January 30, 2024, appointed Ms. Agata Ewa Michalska-Olek to the Company’s Supervisory Board.”

Łukasz Ciołko has been a member of Enea’s supervisory board since September 2022.

As we read on the energy company’s website, Ciołko has been associated with public administration since 2015. He served as a member of the management board of the Ursynów District of the capital city of Warsaw. Warsaw and deputy director of the Department of Intellectual Property and Media at the Ministry of Culture and National Heritage. He was also deputy director of the Department of Fuel and Energy Companies at the Ministry of State Assets.

General meeting of shareholders

An extraordinary general meeting of Enea’s shareholders is scheduled for Tuesday. MAP’s request to convene a general meeting with an agenda includes changes in the supervisory board, which may ultimately result in the dismissal of the current president.

Pursuant to the company’s statute, the supervisory board appoints and dismisses members of the management board or the entire management board. Paweł Majewski has been the president of Enea since April 2022.

Enea SA sells electricity to households and companies throughout the country. The company says it has about 2.5 million customers. The company has been listed on the Warsaw Stock Exchange since 2008. The State Treasury has 52.29 percent. shares in Enea.
