The State Treasury nominated seven candidates for the supervisory board of PGE Polska Grupa Energy. The list includes, among others, former member of the Monetary Policy Council, Andrzej Rzońca.

An extraordinary general meeting of shareholders of PGE Polska Grupa Energetyczna is scheduled for next Wednesday. Changes in the company’s supervisory board were planned during the meeting. Last week, Michał Domagała was appointed to the council. However, this is not the end of the changes.

The Management Board of PGE announced that on Monday the company received a notification from the shareholder – the State Treasury – about the nomination of candidates for the Supervisory Board of PGE. The State Treasury has 60.86 percent. shares in PGE Polska Grupa Energetyczna.

The State Treasury nominated the following candidates:

As we read in the PGE announcement, Elżbieta Niebisz has many years of professional experience, including long work experience in public administration and in the electricity sector.

Niebisz worked in the electricity sector from 2006 to 2019. During this time, she held various positions in companies of the Zespół Elektrowni Pątnów Adamów Konin SA Capital Group, including: president of the management board of the electricity trading company PAK-VOLT SA in Warsaw. In the past, she was also the chairwoman of the supervisory board of, among others, Polfa Tarchomin SA in Warsaw and KGHM Polska Miedź SA in Lubin.

Previously, in the years 1991-2005, Elżbieta Niebisz worked at the Ministry of Ownership Transformations, the Ministry of Treasury and the Energy Regulatory Office.

2. Prof. Ph.D. Eryk Kosiński

Eryk Kosiński is the head of the Department of Public Economic Law at the Faculty of Law and Administration of the University of Adam Mickiewicz in Poznań. He is also a member of the management board of the Poznań Branch of the Polish Economic Society.

In the past, he was the president of the Military Property Agency in Warsaw (in 2008-2009) and deputy mayor of Bydgoszcz (2010-2011).

As stated, Kosiński is the author of numerous publications, including: in the field of energy law, public economic law and public finances.

PGE announced that Małgorzata Banasik is a legal advisor with 20 years of experience in providing legal services to enterprises operating in the electricity, gas, heating and heating industries. Renewable energy.

It was added that in the years 2007-2015, Banasik actively participated in the liberalization processes of the Polish gas market. In turn, in the years 2009-2018, he was involved in the process of integrating gas markets in the Baltic Sea region and Central and Eastern Europe (CEE).

“She advised on projects ensuring the diversification of gas supplies to Poland and the CEE region, including the construction of an LNG terminal in Świnoujście, the creation of a virtual and physical reverse flow in Mallnow, and interconnections with Denmark (Baltic Pipe), Lithuania and Slovakia,” PGE reported.

4. Ph.D. Andrzej Rzońca, prof. SGH

Andrzej Rzońca is the head of the Department of International Comparative Studies at the Warsaw School of Economics.

Rzoźnca is a former member of the Monetary Policy Council (2010-2016). In the years 2001–2007 he worked at the National Bank of Poland. From 2002 to 2004, he headed the Department of International Comparative Studies in the Foreign Department of the National Bank of Poland. In 2004, he took up the position of advisor to the President of the National Bank of Poland.

He was the chairman of the council of the Society of Polish Economists.

5. Ph.D. Sławomir Patyra

Head of the Department of Constitutional Law at the Maria Curie-Skłodowska University in Lublin and the Center for Research on Parliamentarism at the Institute of Legal Sciences of Maria Curie-Skłodowska University in Lublin. “A specialist in constitutional law and a legal advisor,” it was added.

In the years 2014-2018, he was the chairman of the supervisory board of the Lublin Science and Technology Park SA. Then, in the years 2019-2023, he was a member of the Team of Legal Advisors for the Control of the Constitutionality of Law at the Marshal of the Senate of the 10th Term.

Moreover – as recalled – in 2021, he was a joint candidate of the Civic Coalition and the Polish People’s Party – Polish Coalition for the office of the Commissioner for Human Rights.

In the years 1998-2000, Andrzej Sadkowski took an active part in the creation and implementation of the pension reform, as an advisor to the World Bank, Director of the Task Force for the Implementation of the Pension Reform and advisor to the President ZUS – indicated in the announcement.

In the years 1992-1995 he was co-founder and vice-president of the State Agency for Foreign Investments (PAIZ). In the years 1990-1994, he was also associated with the Office of the Government Plenipotentiary for Ownership Transformations, the Ministry of Ownership Transformations and the Ministry of Treasury.

It was emphasized that Andrzej Sadkowski “performed various management functions” for over 30 years. He was, among others, president of the management board of SAMPO SA Life Insurance Company and member of the supervisory board of Nafta Polska SA

Andrzej Kozyra has nearly 20 years of experience in providing legal assistance. He is an attorney and owner of a law firm. “He specializes in strategic legal advice for private and public business entities,” we read.

“He served as a member of the supervisory board of a capital company for nearly 10 years. He provides legal assistance to a leading telecommunications operator,” it was added.

What about the PGE management board?

Changes in the supervisory board may ultimately result in the dismissal of management board members, including the president of PGE, Wojciech Dąbrowski.

Pursuant to PGE’s statute, the management board or individual management board members, including the president and vice-presidents, are appointed and dismissed by the supervisory board. The supervisory board of PGE includes, among others: Janina Goss, friend Jarosław Kaczyńskiwhich recently was dismissed from the Supervisory Board of Orlen.
