PZU Supervisory Board does not want to grant discharge to the management board. Were there any irregularities at PZU?
As announced in a press release published on July 16, the Supervisory Board PZU SA “adopted resolutions no.: URN/128/2024, URN/129/2024, URN/130/2024, URN/131/2024, URN/132/2024, URN/133/2024, URN/134/2024, URN/135/2024 on the recommendation not to grant a discharge to the Members of the PZU SA Management Board for the performance of their duties in the PZU SA Management Board in 2023”.
Thus, it was recommended to the Ordinary General Meeting “not to grant a discharge to Małgorzata Sadurska, Maciej Rapkiewicz, Piotr Nowak, Tomasz Kulik, Krzysztof Kozłowski, Małgorzata Kot, Ernest Bejda and Beata Kozłowski-Chyła for the period of their service on the PZU SA Management Board in 2023”.

What is a discharge and what consequences can it bring?
Legal adviser Artur Sidor in the “Economic Report” program on air TOK FM explained what a discharge is and what exactly it means for a person who does not obtain it.
– It is commonly accepted that the discharge is really about accepting the manner in which the persons who are members of the management board or supervisory boards of companies performed their duties. That is, that they acted in accordance with the regulations, statute, good customs and the interests of the company itself – said Artur Sidor.
– Granting discharge to a person who has held these functions is crucial. Failure to grant discharge or a resolution on this matter is painful for such a person. The discharge concerns what has happened so far – he added. The legal adviser also emphasized that a person who does not receive discharge is often dismissed from their function. It also happens that a given person remains in their position.
