Grupa Azoty submitted another notification to the prosecutor's office, the company announced in a press release. The point is to create a direct risk of property damage exceeding PLN 4 million.
The notification was submitted to the District Prosecutor's Office in Tarnów. “The notification mentions the suspicion of committing a crime involving a direct threat of significant property damage to the company in the amount of over PLN 4 million,” the statement said.

It was explained that, according to the notification, “the annexation of contracts for the provision of management services with 7 former members of the management board of Grupa Azoty SA was intended to guarantee the indicated management board members the payment of compensation after the end of their functions in the group for a period of 6 months, without the Group being able to terminate such prohibition.” “Azoty”. Before the annexation, i.e. before 2021, the non-competition agreements provided for the possibility of termination by Grupa Azoty.
The company announced in a statement that, in accordance with the notification, the actual circumstances of concluding the annexes and internal arrangements made with the relevant organizational units indicate actions in the financial interest of persons responsible for managing the property affairs of Grupa Azoty, to the detriment of the company.
“They also indicate that these activities are aimed at providing financial benefits to the persons with whom such annexes were concluded. The actions taken to prevent the termination of the bans are also important in the context of record levels of losses reported by the Group since the fourth quarter of 2022,” it added.
It was explained that Grupa Azoty immediately terminated the indicated annexes and, as a result, the group did not pay part of the compensation to former management board members after the termination, considering the annexation described as ineffective.
Other notifications to the prosecutor's office
Grupa Azoty also submitted a notification to the prosecutor's office related to changes in non-competition agreements concluded with the management staff.
Earlier, Grupa Azoty Puławy announced that it had submitted a report to the prosecutor's office on suspicion of committing a crime. This is about acting to the detriment of the company in the scope of sponsorship and advertising contracts and donation contracts, which allegedly resulted in damage of over PLN 5.2 million.
At the beginning of September, Grupa Azoty SA also submitted a notification to the prosecutor's office in the area of sponsoring and advertising agreements. The notification indicated that the agreements were concluded despite the suspension of non-critical expenses due to the Company's difficult financial situation and in violation of internal procedures and legal provisions, which was to lead to the creation of property damage in the amount of over PLN 7.5 million in 2023.

In accordance with the management board's recommendation, Grupa Azoty is conducting audits of the companies' operations in recent years. Audits are related to, among others: with record levels of losses that the group has recorded since the fourth quarter of 2022, lack of implementation of effective corrective actions, investments made and contracts concluded. As a result of these inspections, Grupa Azoty has already submitted notifications to the prosecutor's office, which concerned, among others: Polish National Foundation, sponsorship and advertising contracts and former president of the Chemik Police club.
