Enea's supervisory board recommends not granting discharge to former members of the company's management board who held office in the 2023 financial year, the company announced in a press release. The board indicated negligence related to, among others, the claim for compensation for damage incurred in connection with the company's involvement in the project of building a coal unit at the Ostrołęka Power Plant.

As stated in the announcement, the Supervisory Board negatively assesses the activities of former members of the company's management board. The negative assessment and recommendation to refuse to grant discharge apply to all former members of the management board who held office in 2023.

Negligence at Ostrołęka Power Plant among violations

“The Supervisory Board indicated as the reason for adopting these resolutions the breach by former members of the company's management board of the obligation to conduct the company's affairs with due diligence, which exposed the company to the risk of causing it financial damage of at least great size,” the release reads.

It was indicated that these violations concern:

– negligence related to the pursuit of compensation for damage incurred in connection with the company’s involvement in the project of building a coal-fired unit at the OstroÅ‚Ä™ka Power Plant,

– failure to take appropriate action against the Polish National Foundation,

– negligence in the supervision of subsidiaries in the implementation of the contract with the fuel supplier (Arkan Impex General Trading).

Granting discharge is important for former managers because – as explained by Prof. Katarzyna Bilewska from the Faculty of Law and Administration of the University of Warsaw – “by granting discharge, the company declares that it will not pursue claims for compensation from a given person for their actions in the previous year.”

Enea SA sells electricity to households and companies throughout the country. The company says it has about 2.5 million customers. The company has been listed on the Warsaw Stock Exchange since 2008. The State Treasury has 52.29 percent of shares in Enea.

Enea, together with Energa, currently part of the Orlen capital group, implemented the construction of a coal-fired power unit in Ostrołęka. After several years of investment implementation, a decision was made to abandon the coal unit in favor of a gas-fired unit, but then Enea withdrew completely from the Ostrołęka project.
